1. Acceptance of Terms
By accessing vendingpreneurs.com, purchasing a course or membership, or opting in to receive SMS text messages from Vendingpreneurs, you ("Member," "you," or "your") agree to these Terms of Service ("Terms"). If you represent an organization, you confirm you have authority to bind that entity.
2. Scope of Services
Vendingpreneurs provides educational content, community access, courses, resources, and related services for vending machine entrepreneurs, including membership programs, digital products, live events, and SMS text messaging communications ("Services"), as detailed on our website or in your purchase confirmation.
3. Eligibility and Account Security
You must be at least 18 years old and provide accurate information when creating an account, making a purchase, or subscribing to SMS communications. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
4. SMS Text Messaging Program Terms
a. Program Description
The Vendingpreneurs SMS Program provides text message communications including community updates, event reminders, promotional offers, account notifications, and member support messages.
b. Opt-In Consent
By providing your mobile phone number and checking the opt-in box on our forms, texting a keyword to our number, or verbally consenting, you agree to receive recurring automated text messages from Vendingpreneurs. Consent to receive SMS messages is not required to purchase our products or services.
c. Message Frequency
Message frequency varies based on your account activity and interactions with our services. You may receive multiple messages per week.
d. Opt-Out Instructions
You can cancel SMS service at any time. Simply text "STOP" to the number from which you received a message. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.
e. Help and Support
If you experience issues with the messaging program, reply with the keyword "HELP" for more assistance, or reach out directly to support@vendingpreneurs.com.
f. Carrier Liability
Carriers are not liable for delayed or undelivered messages.
g. Message and Data Rates
Message and data rates may apply for messages sent to you from us and to us from you. If you have questions about your text plan or data plan, contact your wireless provider.
h. Privacy

5. Membership Fees and Payment
All fees for courses, memberships, and digital products are stated at the time of purchase. Subscription memberships will automatically renew at the end of each billing period unless canceled prior to renewal. Fees are non-refundable except as required by law or expressly stated in the product description. Late payments on payment plans may result in suspension of access until the account is current.
6. Refund Policy
Due to the digital nature of our products and immediate access to course materials and community resources, all sales are final. Refund requests will be considered on a case-by-case basis at our sole discretion. Contact support@vendingpreneurs.com within 7 days of purchase if you believe you qualify for an exception.
7. Member Responsibilities
You agree to use the Services for lawful purposes only. You will not share, resell, or redistribute course materials, login credentials, or community content without express written permission. You will engage respectfully with other community members and refrain from harassment, spam, or disruptive behavior.
8. Intellectual Property
All website content, course materials, templates, videos, trademarks, and documentation are owned by Vendingpreneurs or its licensors. Except as expressly permitted, you may not copy, modify, distribute, record, or share any portion of the Services. Unauthorized distribution of course content may result in immediate termination of your membership without refund.
9. User-Generated Content
By posting content in our community forums or other interactive areas, you grant Vendingpreneurs a non-exclusive, royalty-free, perpetual license to use, display, and distribute such content in connection with the Services. You retain ownership of your original content but are responsible for ensuring it does not infringe on third-party rights.
10. Disclaimers
The Services are provided "as is" and "as available." Educational content is for informational purposes only and does not constitute business, legal, or financial advice. Results vary and depend on individual effort, market conditions, and other factors. We make no guarantees regarding income, business success, or specific outcomes. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
Vendingpreneurs is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from or related to the Services (including SMS communications), even if we have been advised of the possibility. Our aggregate liability under these Terms will not exceed the total fees you paid to us in the 12 months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Vendingpreneurs and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Services, violation of these Terms, or infringement of any third-party rights.
13. Termination
We reserve the right to suspend or terminate your access to the Services for material breach of these Terms, including but not limited to unauthorized sharing of content, abusive behavior toward staff or members, or failure to pay fees. Upon termination, you will lose access to all course materials and community resources. You may terminate SMS services at any time by texting STOP.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Any dispute not resolved informally will be settled by binding arbitration in Lane County, Oregon, conducted under the Commercial Arbitration Rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.
15. Changes to Terms
We may revise these Terms from time to time. We will post the updated version on our website and update the "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance.
